Subcontractor Remote Monitoring & Timekeeping Addendum

 

 

 

WHEREAS, the parties wish to modify the terms of the original stated contract as set forth herein.

 

WHEREAS, for the purposes of adopting this addendum, the party providing the security service is an affiliate of Nationwide Security Service, (hereinafter “Subcontractor”) and the party contracting the security service is Nationwide Security Service, (hereinafter “General Contractor”).

 

NOW THEREFORE, in consideration of the mutual promises herein, the parties, intending to be legally bound, hereby agree that the following constitutes additional terms and conditions of the stated contract.

 

COMMITMENT: As stated in the Post Order of the Subcontractor’s assignment, provided by the General Contractor, the Subcontractor does agree to abide by all policies and procedures as set forth in any and all Master Agreements, General Assignments, Schedules, Addendums, Attachments, Work Orders, Post Orders, and any official Memorandums furnished by the General Contractor. The Subcontractor, henceforth, shall be required to use General Contractor’s Remote Monitoring and Electronic Timekeeping systems, such as, but not limited to:

 

A.   On-Site Attendance Check-In and Check-Out

B.   On-Site Wellness Checks

C.   Electronic Incident-Driven Reporting

 

 

LIMITED LIABILITY: (a). The Subcontractor must at all times use General Contractor’s Remote Monitoring and Electronic Timekeeping systems prescribed by General Contractor. Failure to do so without good reason may result in timekeeping discrepancies and therefore shall require third party time and attendance verification which may delay payment to the Subcontractor. (b). The Subcontractor’s failure to use the General Contractor’s Remote Monitoring and Electronic Timekeeping systems is considered the Subcontractor’s negligence, and may result in the termination of this Agreement. (c) For any reason other than the Subcontractor’s negligence, such as service failures caused by or at the fault of third party service providers, or the General Contractor’s negligence, the Subcontractor shall not be held liable for such failures or the failure to use the General Contractor’s Remote Monitoring and Electronic Timekeeping system.

 

NO WAIVER: The failure or neglect by a party to enforce any of rights under this agreement will not be deemed to be a waiver of that party's rights.
